Translation of Agreement and Services in Other Languages: Any translation of this user agreement is provided solely for your convenience and is not intended to modify the terms of this user agreement.  In the event of a conflict between the English version of this user agreement and a version in a language other than English, the English version shall control. Ezra offers limited services in Spanish, including translated functionality and text-based user support.

Welcome to www.tryezra.com (the “Site”).  And thanks for choosing Ezra Financial, Inc. (“Ezra”).  We want to help you to achieve your financial goals, and that begins with understanding the products and services that we provide (the “Services”).

1. What does this Terms of Use agreement (the “Agreement”) apply to?

The purpose of this Site is to provide you with information about Ezra.  You can think of this Agreement as a kind of “rules of the road” with respect to your use of the Site.  It is designed to keep both you and Ezra safe.

2. Who does this Terms of Use Agreement (“Agreement”) apply to?

This Agreement is between Ezra and any person that accesses or uses the Site, with two important exceptions:

• If you are an employer who has signed an Order Form and SaaS Services Agreement to utilize the Services (a “Contract”), your relationship with Ezra shall be governed by such Contract, and not this Agreement.

• If you are an employee whose employer subscribes to the Services, this Agreement does not apply to you, as other terms and conditions govern your relationship with Ezra regarding your use of the Services (for example, a user agreement that you sign electronically during the enrollment process).

3. Does this Agreement govern Ezra’s use of my information through the Site?

No.  For information about how we collect, use, share or otherwise process information about you, please see our Privacy Policy. 

4. Can Ezra change the Agreement?

Yes.  Ezra can modify this Agreement at any time, which we will communicate to you by updating the “Effective Date” listed at the top of this document.

5. Who owns the content on the Site?

Ezra. Specifically, Ezra owns the Services, including the text, graphics, images, photographs, videos, illustrations and other content contained therein.

6. Can I use the Ezra logo or other intellectual property on the Site?

No.  Ezra, the Ezra logo, and our other logos, product or service names, slogans and the look and feel of the Services are trademarks of Ezra and may not be copied, imitated or used, in whole or in part, without our prior written permission. 

7. How old must I be to access the Site?

You must be at least 18 years of age to use our Services. 

8. What happens if I provide Ezra with feedback about the Site?

If you choose to provide us with feedback about the Site, you grant Ezra a forever license to use your input to improve the Site without any payment or credit to you.

9. Is there anything I cannot do on the Site?

By accessing the Site, you agree not to violate any laws with respect to the Site.  Examples of such types or prohibited conduct include, but are not limited to, things like:

• Using or attempting to use another user’s account without authorization from that user and Ezra; 

• Impersonating any person or entity or otherwise misrepresenting your affiliation with a person or entity; 

• Circumventing, obscuring, or attempting to circumvent or obscure, the nature of any interaction with or transaction on our Services;

• Using or attempting to use of any data mining, robots or similar data gathering or extraction methods designed to scrape or extract data from our Services; and

• Developing or using any applications or automated tools that interact with our Services or any individual element of the Ezra technology without our prior written consent.

Enforcement of this Section is solely at Ezra’s discretion, and failure to enforce this section in some instances does not constitute a waiver of our right to enforce it in other instances. 

10. Who assumes the risks (if any) of using the Site?

While we hope that you enjoy using the Site, you assume the risk in the event that any issue arises.  Ezra does not represent or warrant that the Site is always accurate, complete, reliable, current or error-free. While Ezra attempts to make your use of our Site safe, we can not and do not represent or warrant that the Site and its content is free of viruses or other harmful components. 

11. If I have a problem with the Site, is Ezra liable?

No.  To the fullest extent permitted by applicable law, Ezra is not liable to you under any theory of liability—whether based in contract, tort, negligence, strict liability, warranty, or otherwise—for any indirect, consequential, incidental, exemplary, or special damages or lost profits arising out of or in any way connected with the use of or inability to use the Site.

12. What is an indemnity and how does it apply to the Site?

An indemnity is a special type of legal obligation where one party compensates another for losses or damages incurred.  By using the Site, you agree to indemnify, defend, and hold harmless Ezra from and against any actual or alleged claims or losses in connection with your breach of this Agreement or use of this Site. 

13. What law governs my use of this Site?

This Agreement shall be interpreted according to, and the rights of the parties shall be governed by, the law of the State of Delaware.  Any action against Ezra arising from or relating to your access and use of the Site must be brought by you in a state or federal court located in the State of California, County of San Francisco.

14. What happens if any part of this Agreement is defective?

If any provision or part of a provision of these Terms is unlawful, void or unenforceable, that provision or part of the provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.

• usar o intentar usar cualquier método de minería de datos, robots o métodos similares de recopilación o extracción de datos diseñados para extraer o extraer datos de nuestros Servicios; y

While Ezra attempts to make your use of our Site safe, we can not and do not represent or warrant that the Site and its content is free of viruses or other harmful components. 

11. Si tengo algún problema con el Sitio, ¿Ezra es responsable?

Este Acuerdo se interpretará de acuerdo con la ley del Estado de Delaware y los derechos de las partes se regirán por ella.  Usted deberá presentar cualquier demanda contra Ezra derivada o relacionada con su acceso y uso del Sitio ante un tribunal estatal o federal situado en el Estado de California, condado de San Francisco.

14. ¿Qué sucede si alguna parte de este Acuerdo presenta defectos?

Si alguna disposición o parte de una disposición de estas Condiciones es ilegal, nula o inaplicable, dicha disposición o parte de la disposición se considerará separable de este Acuerdo y no afectará a la validez ni a la aplicabilidad de las disposiciones restantes.
